1. General

These Terms and Conditions ("Terms") govern all quotations, invoices and services provided by Business Waste Services Ltd ("BWSL", "we", "us", "our"), a company registered in England and Wales. By accepting a quotation from BWSL — whether verbally, in writing, by email or by proceeding with the service — the customer ("you", "your") agrees to be bound by these Terms in their entirety.

BWSL reserves the right to amend, update or replace these Terms at any time and without prior notice. Any such changes take effect immediately upon publication or notification to the customer, whichever is earlier. Continued use of BWSL's services following any amendment constitutes acceptance of the revised Terms. It is your responsibility to review these Terms regularly. The most current version of these Terms will always take precedence over any previous version.

2. Quotation Validity

All quotations issued by BWSL are valid for 30 days from the date of issue unless otherwise stated in writing. BWSL reserves the right to withdraw or revise any quotation at any time prior to written acceptance.

After the 30 day validity period, prices may be subject to change due to fluctuations in disposal costs, fuel surcharges, landfill tax changes, regulatory changes or any other factors affecting the cost of service delivery. A revised quotation will be issued on request.

3. Payment Terms

3.1 All invoices are due for payment within 15 days of the invoice date unless otherwise agreed in writing by an authorised representative of BWSL.

3.2 For new customers or one-off collections, the first invoice — or first period of service — is due in full in advance, prior to the delivery of any containers or commencement of any service. BWSL reserves the right to withhold service until advance payment is received and cleared.

3.3 All payments must be made by bank transfer to the account details stated on the invoice. BWSL does not accept cash unless agreed in advance in writing.

3.4 Time is of the essence with respect to payment. Invoices not settled by the due date will be considered immediately overdue.

3.5 Late Payment — Where an invoice remains unpaid after the due date, BWSL reserves the right to:

  • Charge a fixed late payment fee of £40 per overdue invoice, applied immediately upon the invoice becoming overdue

  • Charge statutory interest on the outstanding balance at 8% above the Bank of England base rate per annum, calculated on a daily basis from the due date until the date of payment, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

  • Recover all reasonable debt recovery costs incurred in pursuing the overdue amount, including but not limited to administration costs, third party collection agency fees and legal costs

  • Suspend or immediately terminate services without liability where payment remains outstanding for more than 30 days beyond the due date

3.6 BWSL reserves the right to report overdue accounts to credit reference agencies.

4. VAT

All prices quoted and invoiced by BWSL are currently exclusive of VAT as BWSL is not currently VAT-registered. In the event that BWSL becomes VAT-registered, VAT at the prevailing rate will be applied to all invoices from the date of registration. BWSL will provide reasonable notice of this change where possible, however this cannot be guaranteed in all circumstances.

5. Service Commencement

Services will commence upon:

  • Receipt and clearance of advance payment, where advance payment is required; and

  • Written acceptance of the quotation by the customer

BWSL will confirm the commencement date and any relevant collection schedule in writing following acceptance. BWSL reserves the right to delay commencement where payment has not been received or cleared in full.

6. Cancellation & Notice Period

6.1 There are no minimum tie-in periods. You may cancel your service at any time by providing 30 days written notice to BWSL.

6.2 Written notice of cancellation must be sent to info@bwsl.co.uk and will be deemed received on the date it is acknowledged by BWSL in writing. Verbal cancellations will not be accepted.

6.3 Collections and associated charges will continue throughout the 30 day notice period and all invoices raised during this period remain payable in full in accordance with Clause 3.

6.4 No exit fees or penalty charges will apply following the expiry of the 30 day notice period providing all outstanding invoices have been settled in full.

6.5 BWSL reserves the right to cancel or suspend services immediately and without notice in the event of non-payment, breach of these Terms, or any conduct that BWSL reasonably considers harmful to its business, reputation or legal compliance obligations.

7. Changes to Service

7.1 Any changes to the agreed service — including but not limited to bin sizes, collection frequency, waste types or collection locations — must be requested in writing to info@bwsl.co.uk.

7.2 BWSL will endeavour to accommodate service changes within a reasonable timeframe. Changes that result in additional cost will be reflected in a revised quotation prior to implementation where practicable.

7.3 BWSL reserves the right to adjust pricing at any time in response to changes in supplier costs, fuel costs, landfill tax, regulatory requirements or any other factor affecting service delivery. Where such changes affect the customer's pricing, BWSL will provide written notification. Continued use of the service following notification constitutes acceptance of the revised pricing.

8. Waste Acceptance & Customer Compliance

8.1 The customer is responsible for ensuring that all waste presented for collection accurately matches the waste description agreed in the quotation and complies with all applicable environmental legislation, including but not limited to the Environmental Protection Act 1990, the Hazardous Waste Regulations 2005 and the Controlled Waste Regulations 2012.

8.2 The customer must ensure that all waste is correctly segregated, appropriately packaged and safely accessible for collection in accordance with any guidance provided by BWSL or its licensed collection partners.

8.3 BWSL and its collection partners reserve the right to refuse, reject or return any waste that does not match the agreed waste description, is incorrectly segregated, is contaminated, poses a safety risk or does not comply with applicable regulations. Additional charges may apply for rejected loads including but not limited to failed collection fees and return transport costs.

8.4 The customer accepts full legal responsibility as the waste producer for their duty of care obligations under the Environmental Protection Act 1990. BWSL's arrangement of collection services does not transfer the customer's producer duty of care.

8.5 Failed Collections Where a collection is attempted but cannot be completed due to circumstances outside the control of BWSL or its licensed supplier (including but not limited to waste not being ready, bins not being presented for collection, site inaccessibility, incorrect waste segregation, or customer cancellation on the day), a failed collection fee of £40 will be charged.

9. Compliance & Documentation

9.1 BWSL arranges waste collections exclusively through Environment Agency-licensed collection partners.

9.2 Waste Transfer Notes will be provided for all general waste collections. Consignment Notes will be provided for all hazardous and clinical waste collections, as required by applicable legislation.

9.3 BWSL will maintain records of all documentation in accordance with statutory requirements. Copies of documentation are available to customers on request.

10. Liability

10.1 BWSL's total liability to the customer — whether in contract, tort, negligence, breach of statutory duty or otherwise — shall not exceed the total value of the services provided under the relevant quotation or invoice to which the claim relates.

10.2 BWSL shall not be liable for any indirect, consequential, special or incidental loss or damage, including but not limited to loss of revenue, loss of profit, loss of business, loss of data or reputational damage, arising from or in connection with the provision of services, howsoever caused.

10.3 BWSL shall not be liable for any loss, damage, delay or failure in service caused by circumstances beyond its reasonable control, including but not limited to acts of God, extreme weather, industrial action, vehicle breakdown, road closures, regulatory changes, third party carrier failure or any other force majeure event.

10.4 Nothing in these Terms shall limit or exclude BWSL's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully limited or excluded.

11. Data Protection

BWSL will process personal data provided by the customer in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Personal data will be used solely for the purposes of providing services, managing accounts and fulfilling legal obligations. BWSL will not sell or share personal data with third parties except where required for service delivery or by law.

12. Entire Agreement

These Terms, together with any accepted quotation, constitute the entire agreement between BWSL and the customer with respect to the services described. They supersede all previous quotations, correspondence, representations or agreements, whether verbal or written. No variation to these Terms shall be binding unless confirmed in writing by an authorised representative of BWSL — except where BWSL exercises its right to amend these Terms in accordance with Clause 1.

13. Severance

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.

14. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them — whether contractual or non-contractual — shall be governed by and construed in accordance with the law of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

15. Acceptance

By accepting a quotation from BWSL — whether verbally, by email, in writing or by proceeding with the service — you confirm that you have read, understood and agree to be bound by these Terms and Conditions in their entirety, including BWSL's right to amend these Terms at any time with immediate effect.
